Terms of Sale & Services (Training, Implementation, Customization, Documentation)
Effective date: March 4, 2026

These Terms of Sale & Services apply to paid services offered by Lovixia Dynamic Solutions (“Lovixia”, “we”, “us”), including training, onboarding support, Guided Launch (Done-with-you), Full Implementation (Done-for-you), customization planning, customization work, and documentation/SOP-style template packages.

1) Scope and deliverables
Services are defined by the product description, invoice, written scope statement, or package terms. Anything not expressly included is out of scope.

2) Client responsibilities
To deliver efficiently, you agree to provide timely access to:

  • Relevant files (exports/spreadsheets, sample transactions, current process notes)
  • A primary point of contact for decisions and clarifications
  • Needed system context (team roles, volumes, locations, lots, approval rules)

Delays in providing inputs may delay delivery dates and timelines.

3) Guided Launch and Full Implementation
Guided Launch (Done-with-you) is a structured program. Your team is responsible for data entry and corrections using our templates, with our review and guidance.
Full Implementation (Done-for-you) includes bulk onboarding and configuration using exports/source data provided in the agreed format. Training and handoff are included as defined in the scope.

4) Scheduling and rescheduling (live sessions)
Live sessions (remote or onsite) are scheduled in advance.

  • Reschedule requests made more than 48 hours before the session: one reschedule at no charge
  • Requests within 48 hours: we may charge a rescheduling fee or treat the session as delivered
  • No-shows: treated as delivered

5) Onsite training (if offered)
Onsite training requires a written quote and may include travel time, travel expenses, and minimum session blocks.

6) Setup Quote (paid discovery; credited)
The MRH Setup Quote is paid discovery used to confirm fit, data readiness, onboarding requirements, and scope for Guided Launch or Full Implementation. If you proceed with Guided Launch or Full Implementation, the Setup Quote fee is credited as described in the product description. Discovery outcomes are good-faith findings; timelines and scope depend on data readiness and the information provided.

7) Customization (quoted work)
Customization work (changes beyond MRH’s standard configuration and existing features) is quoted separately. Quotes are based on the information provided at the time of scoping. Implementation scope may change if requirements change or new constraints appear.

8) Documentation + SOP-style templates
Documentation deliverables are templates and workflow documentation. You are responsible for:

  • Reviewing, approving, and maintaining your final SOPs/procedures
  • Ensuring suitability for your organization, obligations, and internal policies

We provide templates as guidance; we do not provide regulatory compliance consulting or act as your quality department.

9) Change requests
If you request changes beyond the agreed scope, we will quote additional time/cost before proceeding.

10) Payment terms
Unless otherwise stated:

  • Services require payment in advance to reserve time, or a deposit for larger scopes
  • Late payments may pause delivery and scheduling

11) Confidentiality
We will treat your non-public information as confidential and use it only to provide services. You agree to treat our templates, methods, and materials as confidential to the extent they are not public.

12) Warranty disclaimer and limitation of liability
Services are provided “as is.” To the maximum extent permitted by law, Lovixia disclaims warranties and limits liability as described in the EULA / License Terms.
