EULA / License Terms (MRH and Digital Materials)
Effective date: March 4, 2026

These EULA / License Terms apply to MRH (Material Resource Hub) and any related digital materials sold or provided by Lovixia Dynamic Solutions (“Lovixia”, “we”, “us”), including files such as templates, checklists, documentation, downloads, and other materials provided with your purchase (if any).

1) License, not a sale
We license MRH and related digital materials to you. We do not sell you ownership of the software or content.

2) License grant
Subject to your payment and compliance with these terms, Lovixia grants you a limited, non-exclusive, non-transferable license to:

  • Download and use MRH internally within your company
  • Use any related digital materials you receive internally for your business operations

3) Who may use it
Unless your order states otherwise, the license is for one legal entity (one company) and its internal team members and contractors working under your direction.

4) Restrictions (what you may not do)
You may not:

  • Resell, sublicense, distribute, share, publish, or provide MRH or the digital materials to another company or third party
  • Post any portion of MRH, templates, or documentation publicly (including forums or file-sharing sites)
  • Remove or alter copyright notices, branding, or license identifiers

5) Backups
You may make a reasonable number of backup copies for internal use and disaster recovery, provided all copies remain under your control and are not shared outside your licensed entity.

6) Modifications and support boundary
You may modify MRH for internal use. However, if you or a third party modifies the workbook/VBA:

  • Lovixia is not responsible for defects introduced by those changes
  • Support may be limited to the unmodified version, at Lovixia’s discretion
  • We may require you to reproduce issues in the unmodified version before troubleshooting

7) Compatibility and environment
MRH requires Microsoft Excel for Windows (desktop) with macros enabled. MRH is not supported on Mac, Excel mobile app, or Excel for web. You are responsible for ensuring your IT/security environment allows macro-enabled workbooks and VBA. Restrictions that block macros, automation, or required settings may prevent use.

8) Updates
If your purchase includes updates, Lovixia may provide updates during the stated update period. Updates may change features, improve stability, adjust workflows, or address defects. Updates are provided as released (not on a guaranteed schedule).

9) Intellectual property
MRH and all related content remain the intellectual property of Lovixia and its licensors. No rights are granted except those expressly stated in this agreement.

10) Operational responsibility
MRH is an operations tool. You are responsible for verifying outputs, maintaining backups, and validating workflows for your environment and use case.

11) No compliance or regulatory consulting
Lovixia provides workflow tools and templates. We do not act as your quality management system, and we do not provide regulatory compliance consulting. You are responsible for your final procedures, approvals, and compliance obligations.

12) No safety-critical use
MRH is not intended for life-sustaining or safety-critical applications.

13) Trademark notice
Microsoft and Excel are trademarks of Microsoft Corporation. MRH is an independent product and is not affiliated with, endorsed by, or sponsored by Microsoft.

14) Disclaimer of warranties
MRH and digital materials are provided “as is” and “as available,” to the maximum extent permitted by law.

15) Limitation of liability
To the maximum extent permitted by law, Lovixia will not be liable for indirect, incidental, special, consequential, or punitive damages. Lovixia’s total liability for any claim will not exceed the amount you paid for the product or service that gave rise to the claim.

16) Termination
If you violate these terms, the license may terminate. Upon termination, you must stop using MRH and delete your copies.
